Subj: Terms of Service Agreement
Thank you for considering Believe Software as a provider for technology services.
You have requested that Believe Software provide services and expertise to you. Believe Software agrees to provide services to you subject to the limitations and understandings explained below. This Terms of Service agreement or understanding will constitute our contract.
Scope Of Work
You have requested and Believe Software will notify you agreement to provide the following services:
- Items described in the Help Ticket Request's Description box, proposal or Statement of Work (SOW).
- Take all actions which are appropriate and necessary to complete the tasks which you have requested subject to the limitations found below.
Other Technology Services:
Often during the course of providing computer and technology based services, customers or clients discover that they may need or want additional services. Believe Software strives to meet the needs of its customers. Another agreement with an additional scope of work or services will be necessary or a written amendment to current terms of service agreement.
Best Efforts:
Believe Software will always make its best effort to complete the tasks requested. The extent that those tasks may include development of new software or programs, Believe Software is not able to predict with complete accuracy if the requested programs or software will be able to be developed. On rare occasions, the customer or client’s requests cannot be accomplished. Additionally medical needs may cause brief delays.
Believe Software – Fees
Believe Software fees are billed and payable monthly and are based upon an hourly rate based upon tenth-hour increments according to the following rate schedule:

- Custom Software Development
- Web Development
- App Development
- IT Administration
- Computer Support
$75 per hour + Tax in 2026 with rate increases at $10/hour every January 1st. 1 hour minimum, except for established customers with active projects.
$30/month for Web Hosting. $5/month additional for Database access.
You have previously agreed to the following payment plan:
- Monthly invoices subject to the terms of our agreement.
Believe Software does not commit to any schedule estimate or quote estimate. These estimates are just guesses based on past experience combined with what you the customer have shared with us up to this point what you want to be included in the project. These estimates are non-binding. Most projects run over schedule and over budget, especially if there is a change in scope (scope creep) or revisions to what Believe Software provides.
Late Fees
If an invoice isn't paid within a month 30 days a late fee will be assessed. The late fee will be whichever is greater of 1) or 2).
- One hour per month times our current hourly rate/ per month, every month that the bill is late.
- The current total bill * 2%
Other Fees and Incurred Costs
- By providing Believe Software with your mobile phone number, message and data rates may apply.
There may be other fees and incurred costs not listed.
Licensing Agreement

Products developed by Believe Software are licensed to the client, not sold as property. Believe Software will be the sole owner of the product (eg. Software developed for the customer.)

Only Believe Software can maintain, host and install software that Believe Software writes.
- Believe Software can reuse the code for Believe Software and its other customers on other projects developed for the customer.
Believe Software Responsibilities
- To have a clear understanding of the work or scope of work which the customer / client desires to have accomplished and to have a summary of the same in the scope of work.
- To provide regular updates on progress toward completion of the scope of work.
- To notify the customer / client of any occurrences which may cause a delay or an increase in anticipated costs.
Client Responsibilities
You are responsible for the following:
- Communicate clearly with regard to expectations and understanding of the work to be completed.
- To promptly notify Believe Software of any way in which the work is not meeting expected performance goals and make the equipment or software available to Believe Software to attempt to remedy any potential problems.
Privacy
- Believe Software may use information about our business relationship in Believe Software's marketing. For example, referrals and actor case examples or on Believe Software's social media or website. Including pictures. - Believe Software may show non-confidential work performed for our customers to prospective customers.
- Believe Software may share communications and customer sensitive information with contractors or show end results to others for feedback along the developmental process. The customer is responsible for letting Believe Software know what information to withhold from sharing. Believe Software believes in respecting confidentiality of sensitive data and is not responsible for leaks of data.
Location and Travel
- Believe Software can work remotely, but does not travel outside of Ames, IA 50010, 50014
- Believe Software charges for travel time.
- Customers are not allowed to do business at Joshua Ginn's apartment's property. Believe Software can visit you at your location or another arranged location.
- Some services are only available in local markets in Ames, Iowa, USA or in scheduled transportation on-site calls with additional costs. Most services and consultations can be conducted over the phone, by text or e-mail.
Availability & Hosting Up-Time
Believe Software does not guarantee website hosting at 100% up time.
Believe Software may need to take the website down for maintenance, upgrades or unexpected occurrences such as power or network failures. If MetroNet is down, your website will be down.
We host Believe-Software.com on our own server, so it is important to me that Believe Software's and Believe Software's customers websites are online as much as possible.
Software development and services availability will be limited when Joshua Ginn is in school.
Limited Liability
- It is the customer's responsibility to verify all work done before or as soon as it goes into production
- Believe Software will not be liable for being hacked.
- Liability is limited to the amount charged minus the cost of goods sold.
- The customer (you) are responsible for backing up your system and all data incase Believe Software or one of it's affiliates intentionally or accidentally loose or destroy anything or make it irrecoverable. I can not always guarantee being able to fix or recover all systems.
- Any terms and conditions of licenses implemented or used by Believe Software are automatically bound and accepted by you, the customer, not Believe Software. The customer agrees to abide by any contracts used for Believe Software's services. Example: If Believe Software installs a Google software for you, you, the customer, are bound to those terms and conditions and any privacy policy, not Believe Software.
Indemnification
The customer agrees to compensate Believe Software for all damages and expenses occuring caused by the customer or the customer's systems.
- (For example, if a customer's virus infects Believe Software's systems.)
Customer shall defend, indemnify, and hold harmless Believe Software and its affiliates from and against any Claims arising out of:
- Customer’s misuse of the Services;
- Customer-provided content that infringes third-party rights;
- Customer’s violation of applicable laws.
Moral Agreement
- Believe Software won't work on a computer that has pornography on it.
- Believe Software will not work on any system that is used for illegal or dangerous activity.
Contractors
Believe Software may bring in a specialist or another contractor to help with the work. They will bill at their own hourly rate and have their own requirements for the job and contract.
Tracking Software
Believe Software tracks interactions on it's website and e-mails using cookies and other tracking software.
Believe Software may capture information about you or your request and services such as taking notes or audio or video recording.
Independent Judgment
Finally, please understand that in providing services to you, I am not your employee and am bound and required to exercise my independent judgment in order to obtain the best possible result for you.
Believe Software reserves the right to refuse services, offers or goods to any customer or prospect for any reason.

If after you have read this Terms of Services Agreement you have any questions, please call me by using our Contact Us form at https://Believe-Software.com/Contact. If you are in agreement with the terms set forth herein, please check the box on the Help Ticket Request indicating your acceptance and submit it to Believe Software as it will constitute our contract. Once we have reached an agreement, I will begin work on the matters identified in the scope of work listed above.
